Terms of Service

1. Definitions
"Service" means the Composerie product personalization platform, including the Design Studio, Live Customizer, merchant dashboard, APIs, and all related tools and features.
"Merchant" or "You" means the individual or entity that registers for and uses the Service.
"End Customer" means any individual who personalizes and/or purchases products through a Merchant's store using the Composerie customizer.
"Platform" means a connected e-commerce sales channel (e.g., Shopify, Etsy, WooCommerce).
"Content" means any designs, images, text, templates, product data, or other materials you upload to or create within the Service.
"Provider" means a third-party print-on-demand or fulfillment service connected to the Service (e.g., PrintAPI, Printify).
2. Acceptance of Terms
By accessing or using Composerie, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Service.
3. Description of Service
Composerie is a product personalization platform that enables e-commerce merchants to create customizable product templates, offer real-time personalization to end customers, connect with print-on-demand providers, and manage personalized orders across multiple sales channels. The Service includes a visual Design Studio, embeddable Live Customizer, analytics dashboard, provider integrations, and API access.
4. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You must be at least 18 years old to create an account. One account per individual or legal entity.
5. Subscription and Fees
The Service is offered on a subscription basis. By subscribing, you agree to the following:
5.1 Base Subscription
- The subscription fee is €49 per month per connected Platform
- Annual billing is available at €490 per year per Platform (approximately 17% savings)
- Each connected sales channel counts as one Platform subscription
- All prices are in Euros (EUR)
5.2 Transaction Fees
In addition to the subscription fee, volume-based transaction fees apply to personalized items processed through the Service:
Transaction fees are calculated on a tiered basis each billing cycle. Only personalized items processed through Composerie are counted.
5.3 Payment and Billing
- Payments are processed securely through Stripe
- Subscription fees are billed in advance (monthly or annually)
- Transaction fees are calculated and billed at the end of each billing cycle
- Failed payments may result in service suspension after a 7-day grace period
5.4 Price Changes
We may change our fees with at least 30 days' advance notice via email. Price changes will not affect your current billing period. If you do not agree with the new pricing, you may cancel before the next billing cycle.
6. Free Trial
New accounts receive a 30-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be deactivated but your data will be retained for 30 days.
7. Intellectual Property
7.1 Your Content
You retain all ownership rights to Content you upload to or create within the Service. By uploading Content, you grant Composerie a limited, non-exclusive, worldwide license to use, store, reproduce, and process that Content solely for the purpose of providing and improving the Service.
7.2 Composerie IP
Composerie retains all ownership rights to the platform, software, APIs, documentation, design system, and all related intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.
8. Content Guidelines and Acceptable Use
You agree not to use the Service to:
- Upload or distribute content that is illegal, harmful, defamatory, or infringes on third-party rights
- Create products that promote violence, discrimination, or illegal activities
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated scripts, bots, or scrapers to access the Service
- Resell, sublicense, or redistribute the Service without authorization
We reserve the right to remove Content that violates these guidelines and to suspend or terminate accounts of repeat offenders.
9. Third-Party Integrations
The Service integrates with third-party platforms (Shopify, Etsy, etc.) and print providers (PrintAPI, Printify, etc.). These integrations are subject to the respective third party's terms of service. Composerie is not responsible for the availability, reliability, or policies of third-party services. Issues with orders, fulfillment, or product quality are between you and your print provider.
10. Service Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Planned maintenance will be communicated in advance. We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.
11. Data Handling and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
12. Indemnification
You agree to indemnify, defend, and hold harmless Composerie and its directors, officers, and employees from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your Content, your violation of these Terms, or your violation of any third-party rights.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- Composerie shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Composerie shall not be liable for any loss of profits, revenue, data, or business opportunities
- Our total aggregate liability for any claim shall not exceed the total fees you paid to Composerie in the 12 months preceding the claim
These limitations apply regardless of the legal theory on which the claim is based.
14. Termination
14.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
14.2 By Composerie
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if required by law. We will provide reasonable notice where possible.
14.3 Data After Termination
Upon termination, your data will be retained for 30 days to allow you to export it. After 30 days, all data will be permanently deleted. You may export your data at any time before or during the 30-day retention period through the platform's export functionality.
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of the Netherlands, without regard to conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively by the competent courts in Amsterdam, the Netherlands. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
18. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements you enter into with Composerie, constitute the entire agreement between you and Composerie regarding the Service. These Terms supersede all prior agreements and understandings, whether written or oral.
19. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and through the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.
